Affiliate Program Agreement
- Purpose
The Business operates the Master Speaking Japanese course and wishes to engage the Affiliate to promote its products and services in exchange for a commission, as set forth below.
- Affiliate Responsibilities
The Affiliate agrees to:
- Promote the Business’s Master Speaking Japanese course through approved channels including social media, blogs, email and websites.
- Use only promotional materials provided or approved by the Business.
- Avoid any false, misleading, or unethical marketing practices.
- Commission and Payment
- The Affiliate will receive a 30% commission on each qualified sale made through their unique affiliate link.
- A "qualified sale" is defined as a completed and paid transaction that is not refunded within 30 days.
- Commissions are calculated based on the net sale price (excluding taxes, discounts, and refunds).
- Payments will be made on a monthly basis, via Bank Transfer, provided the Affiliate has earned at least minimum payout threshold, £
- Tracking and Reporting
- Sales are tracked using unique affiliate links provided by the Business.
- The Business will provide access to an affiliate dashboard for tracking clicks, conversions, and commissions.
- Term and Termination
- This Agreement shall remain in effect until terminated by either party with written notice.
- The Business may terminate the agreement immediately for any breach of terms or inappropriate conduct.
- Upon termination, any unpaid but earned commissions will be paid during the next payment cycle.
- Relationship of the Parties
The Affiliate is an independent contractor and not an employee, partner, or agent of the Business. This Agreement does not create a joint venture or partnership.
- Confidentiality
Both parties agree to keep confidential any non-public information disclosed in connection with this Agreement.
- Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
- Entire Agreement
This document constitutes the entire agreement between the parties. No other representations or promises are binding unless in writing and signed by both parties.
